The Settlement Agreement amends the terms of the Senior Convertible Debenture dated May 15, 2012 which was issued pursuant to the Securities Purchase Agreement dated March 28, 2012 (as amended on May 15, 2012 and September 17, 2012) between our Company and Hagen Investments Ltd.
